BASIC FUNCTIONS Serves as a non-voting member of the Board of Directors, representing Caring for Cats’ best interests. Exercises personal leadership in motivating board members, committee members, and caregivers. In conjunction with the President, helps to establish goals and objectives of Caring for Cats. Takes part in monitoring and evaluating organizational performance and effectiveness. Works in partnership with the President. DUTIES AND RESPONSIBILITIES
Attends and actively engages in all Board meetings.
Participates in developing a vision and strategic plan.
Identifies and informs the Board of internal issues that affect the organization.
Acts as a spokesperson for the organization.
Upon approval by the Board, signs and delivers in the name of the corporation deeds, mortgages, bonds, contracts or other instruments pertaining to the business of the corporation, except in cases where the authority to sign and deliver is required by law to be exercised by another person or is expressly delegated by the articles or bylaws or by the Board to another office or agent of the corporation.
Creates an annual development plan to ensure adequate resources to sustain the activities of Caring for Cats.
Participates in donor-reaching and public fundraising activities.
Ensures that records of the Board are maintained.
Annually evaluates the performance of the Shelter Operations Manager in fulfilling their documented responsibilities. Holds an open discussion with the Shelter Operations Manager to discuss possibilities.
In collaboration with the Shelter Operations Managers, oversees the operations of the organization.
Ensures that files are securely stored maintaining confidentiality when necessary.
Ensures that programs and services offered by Caring for Cats are in alignment with their mission.
Oversee the planning, implementation and evaluation of programs and services.
Assists in planning an annual budget and monitors monthly cash flow.
Approves expenditures within the authority delegated by the Board.
Supports the development of an annual report.
Oversees communication channels.
Establish good working relationships with community groups.

Influences the organization’s goals. Takes part in monitoring and evaluating organizational performance and effectiveness. Works in partnership with the Executive Director.
DUTIES AND RESPONSIBILITIES
Presides over all Board and Executive Committee meetings; coordinates with the Executive Director the agenda for each meeting.
With the advice and assistance of the Executive Director, ensures that the Board is kept informed on all Caring for Cats operations.
In conjunction with the Executive Director, sees that basic policies and programs to further Caring for Cats’ goals are planned, formulated and presented to the Board.
Helps to develop an annual budget in cooperation with the Executive Director.
Provides prospective Board members with a summary of general expectations, responsibilities and legal liabilities of the Board.
Works with Board members to ensure that all resolutions and policies are carried out and that Board responsibilities are fulfilled.
Annually evaluates the performance of Board members in fulfilling their responsibilities. Holds an open discussion with each Board member to discuss possibilities.
Ensures that managers, committee members and caregivers are given the opportunity to present their concerns to the Board and that their concerns are addressed.
Works with Board members to recruit volunteers.
Approves committee chairs and verify that committees are functioning according to their stated purpose.
Leads the Board in strategic planning to help accomplish the purpose of the shelter as defined in the Articles of Incorporation.
Consults with and advises the Executive Director on matters pertaining to policies, programs and finances.

Keeps accurate minutes of the Board of Directors meetings and distributes to all members of the Board.
Tracks term limits for each board member.
Creates an agenda for each Board meeting with input from the President, Executive Director and other Board members.
Assures a location for Board meetings held in-person or via Zoom.
Submits all minutes for publication on Caring for Cats website.
Provides necessary documentation for the legal operation of Caring for Cats when necessary.
